Creatix Architects - Terms and Conditions
1. Introduction
Creatix Architects is a professional architectural firm offering a wide range of architectural, design, and consulting services to clients. 1.2. By engaging Creatix Architects for architectural services, the client (“you” or “your”) agrees to abide by these Terms & Conditions, which govern the use of our services, drawings, and the payment process.
2. Services Provided
2.1. Creatix Architects provides a variety of architectural services, including but not limited to:
Conceptual design and space planning
Schematic design and design development
Preparation of construction documents
Project management and site supervision
Feasibility studies
Interior design and landscape architecture
Coordination with consultants (structural engineers, mechanical, etc.)
2.2. The scope of services to be provided will be specified in a written agreement between the client and Creatix Architects.
3. Use of Drawings and Intellectual Property
3.1. All architectural designs, drawings, blueprints, and other deliverables created by Creatix Architects ("Drawings") are the intellectual property of Creatix Architects unless otherwise agreed in writing.
3.2. The client is granted a limited, non-transferable license to use the Drawings solely for the project specified in the contract. This license is conditional upon full payment of all fees owed to Creatix Architects.
3.3. The Drawings provided by Creatix Architects may not be reproduced, copied, or used for other projects or purposes without written permission from Creatix Architects.
3.4. The client may not modify the Drawings without the express consent of Creatix Architects. Any unauthorized modifications void the license to use the Drawings and release Creatix Architects from any liability arising from the modified drawings.
3.5. Creatix Architects reserves the right to use the Drawings for promotional purposes, including but not limited to websites, portfolios, publications, and marketing materials unless the client explicitly requests otherwise in writing.
4. Fees & Payment Conditions
4.1. The fees for services provided by Creatix Architects will be outlined in the client agreement and are based on the scope of the project, the complexity of the design, and other factors.
4.2. Creatix Architects may charge fees on one of the following bases, as agreed in the contract:
Fixed fee: A predetermined, all-inclusive amount for the project.
Hourly rate: Billing based on the time spent on the project at the agreed-upon rate.
Percentage of construction cost: A percentage of the total construction cost of the project.
4.3. Additional services or revisions beyond the scope of the initial agreement will be subject to extra fees, which will be quoted and agreed upon in advance.
4.4. Payment Schedule:
A non-refundable deposit of 20% of the total fee is required to commence work. This deposit will be credited toward the final payment.
Progress payments will be made in accordance with milestones outlined in the contract (e.g., completion of concept design, construction documents, etc.).
The final payment is due upon completion and delivery of all agreed services. Full payment must be made before the final Drawings are released to the client.
4.5. Late Payments:
Invoices are payable within 10 days of the issue date.
In the event of late payments, Creatix Architects reserves the right to suspend work until payment is received. A late fee of 10% per month may be applied to overdue balances.
4.6. Taxes:
The fees charged by Creatix Architects are exclusive of taxes. Any applicable taxes, such as VAT or sales tax, will be added to the invoice unless the client provides valid exemption documentation.
5. Revisions and Additional Work
5.1. Any revisions to the Drawings or additional services requested by the client beyond the agreed scope will be treated as separate services and will incur additional fees. 5.2. Creatix Architects will inform the client of any additional fees before commencing such revisions or extra work.
6. Project Termination
6.1. Either party may terminate the agreement for cause, such as failure to perform obligations under the contract. Written notice must be provided at least 15 days in advance.
6.2. In the event of termination, the client will be liable for payment of all work completed up to the date of termination. Creatix Architects will provide an invoice for the completed services, which must be paid within 10 days.
6.3. Upon termination, the client’s right to use the Drawings will be immediately revoked unless otherwise agreed in writing.
7. Limitation of Liability
7.1. Creatix Architects shall not be liable for any damages, loss of profit, or consequential damages arising from the use or misuse of the Drawings or services.
7.2. The client agrees to indemnify and hold Creatix Architects harmless from any third-party claims related to the use of the Drawings or services for purposes beyond the agreed project.
7.3. Creatix Architects’ total liability for any claims related to the project shall not exceed the total fees paid by the client for the services provided.
8. Governing Law and Dispute Resolution
8.1. These Terms & Conditions and any disputes arising under them shall be governed by the laws of Jabalpur.
8.2. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiations. If negotiations fail, the dispute will be referred to mediation or arbitration before proceeding to litigation.
8.3. Any legal proceedings must take place in the courts of Jabalpur M.P.
9. Amendments and Entire Agreement
9.1. These Terms & Conditions may only be amended by a written agreement signed by both parties.
9.2. The signed contract, together with these Terms & Conditions, constitutes the entire agreement between the client and Creatix Architects. No other representations, warranties, or agreements, whether verbal or written, are valid unless expressly incorporated into the agreement.
By entering into a contract with Creatix Architects, the client acknowledges and agrees to abide by these Terms & Conditions.
